Unless expressly stated otherwise in writing, a quote or estimate does not create a binding obligation for NXXT Vue Media to provide services at the quoted price or for the quoted scope.

5. Payments

9. NXXT Vue Media Intellectual Property
Unless a separate written agreement provides otherwise, NXXT Vue Media retains ownership of its pre-existing intellectual property, proprietary tools, processes, templates, systems, know-how, methodologies, software, concepts, and materials used in providing Services.
Ownership and licensing of final deliverables will be determined by the applicable written service agreement.
Payment for services does not automatically transfer ownership of NXXT Vue Media's pre-existing intellectual property.
10. User Submissions
If you submit comments, suggestions, feedback, testimonials, ideas, or other material to NXXT Vue Media, you grant us permission to use that material for legitimate business purposes to the extent reasonably necessary, unless you expressly state otherwise or applicable law provides otherwise.
You retain rights you may have in your submission.

The amount you paid directly to NXXT Vue Media for the applicable Website-related Service giving rise to the claim during the twelve months preceding the event giving rise to the claim; or
One hundred U.S. dollars ($100).
This limitation does not apply to liability that cannot legally be limited or excluded, including liability arising from intentional misconduct or other circumstances for which applicable law prohibits limitation.
For paid Services, any different liability provisions contained in a separately executed service agreement will control to the extent permitted by law.

To the extent permitted by applicable law, you agree to indemnify and hold harmless NXXT Vue Media and its owners, officers, employees, contractors, and agents from third-party claims, losses, liabilities, damages, costs, and reasonable expenses arising from:

Your intentional or fraudulent misconduct.
This section does not require you to indemnify NXXT Vue Media for losses caused by NXXT Vue Media's own unlawful conduct, negligence, or other liability that cannot legally be shifted to you.

Nothing in this section is intended to deprive a consumer of rights or protections that cannot lawfully be waived under the law applicable to that consumer's transaction.

Before initiating formal proceedings regarding a dispute arising from use of the Website, the parties should make a reasonable effort to communicate the nature of the dispute and attempt to resolve it.

If a separate written service agreement contains a dispute-resolution procedure, that procedure will govern the applicable service relationship.

To the extent permitted by applicable law, any court proceeding concerning these Website Terms that is not subject to a different mandatory venue requirement will be brought in a state or federal court having appropriate jurisdiction in Ohio.
Nothing in this section limits a consumer's right to bring an action in a forum where applicable law permits or requires the action to be brought.

When you communicate with NXXT Vue Media electronically, you consent to receive communications electronically where permitted by applicable law.

A separate written agreement between you and NXXT Vue Media may establish additional or different terms for specific Services.
If there is a conflict between these Website Terms and a separately executed service agreement, the service agreement will control with respect to the Services covered by that agreement.
